These Terms of Use (“Terms”) govern your access to and use of https://valuethics.in, its sub-domains, and the ValuEthics 360° platform (collectively referred to as the “Platform”), which is owned, operated, and managed by Value Ethics Pvt. Ltd. (“Company”, “we”, “us”, or “our”).

By accessing, browsing, registering on, or using the Platform in any manner, you agree to be bound by these Terms, the Privacy Policy, and all applicable laws. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

1. Entire Agreement

These Terms of Use, together with the Privacy Policy and Disclaimer published on the Platform, constitute the entire agreement between the Company and the user (“User”, “you”, or “your”). This agreement supersedes all prior understandings, communications, or agreements, whether written or oral.

Your first access or use of the Platform shall be deemed the commencement date of this agreement.

2. Nature & Scope of the Platform

ValuEthics 360° is a technology-enabled investment analytics, portfolio monitoring, financial organization, and personal finance management platform.

The Platform provides tools and features including, but not limited to: – Investment and portfolio analytics – Research frameworks and market insights – Personal balance sheet and net-worth tracking – Asset and liability monitoring – Goal mapping and financial projections – Tax-related summaries – Document vault and record storage – Will and legacy tracking utilities

All tools and outputs are system-driven, automated, and indicative in nature and are provided strictly for informational and decision-support purposes.
The Platform provides multiple technology-driven tools and services including analytics, tracking, planning, and advisory-support features.

It is clarified that: – ValuEthics 360° does provide investment advisory services only where the user has explicitly opted for such services and has entered into a separate, valid, written Investment Advisory Agreement with Value Ethics Pvt. Ltd., in accordance with applicable SEBI (Investment Advisers) Regulations. – Any advisory services so provided are governed strictly by the terms of the respective advisory agreement and applicable regulatory requirements.

Except where such a formal advisory relationship exists: – The Platform does not execute trades or transactions on behalf of users – The Platform does not provide assured or guaranteed returns

All other tools, dashboards, analytics, projections, and outputs available on ValuEthics 360° continue to function as technology-enabled, decision-support systems and should not be construed as execution-based or guarantee-backed services.

3. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law to use the Platform. By using the Platform, you represent and warrant that you meet this eligibility requirement.

4. User Registration & Account Security

Certain features require registration. You agree to: – Provide accurate, complete, and current information – Maintain confidentiality of login credentials – Be solely responsible for all activities under your account
Sharing of accounts, multiple logins intended to bypass subscription limits, or unauthorised access may result in immediate suspension or termination without refund.

5. User Responsibilities & Conduct

Users agree not to: – Upload false, misleading, unlawful, or infringing content – Misuse, reverse engineer, scrape, or disrupt the Platform – Use the Platform for any unlawful or prohibited activity – Share subscriptions or access credentials
The Company reserves the right to suspend or terminate access for violation of these obligations.

6. Accuracy of Data & User Content

All information, data, and documents uploaded or entered by users remain the sole responsibility of the user.
The Company does not verify, audit, validate, or certify user-submitted data, financial records, balance sheets, or documents (including will or legacy-related records).
Users indemnify the Company against any loss arising from incorrect, outdated, or misleading information provided.

7. Intellectual Property Rights

All content, software, algorithms, dashboards, designs, text, graphics, trademarks, and proprietary systems on the Platform are the exclusive intellectual property of Value Ethics Pvt. Ltd. or its licensors.
Users are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform for personal, non-commercial purposes only.
Any unauthorised reproduction, distribution, or commercial use is strictly prohibited.

8. Fees, Subscriptions & Payments

Certain features or plans may be offered on a paid basis. Pricing, billing cycles, and payment terms shall be communicated at the time of subscription.
All payments are processed through authorised payment gateways. The Company does not store card or banking details.
Unless explicitly stated, all fees are non-refundable.

9. Third-Party Services & Integrations

The Platform may integrate with or link to third-party services or data providers. The Company does not control and is not responsible for the accuracy, availability, or practices of such third parties.
Use of third-party services is subject to their respective terms and policies.

10. Confidentiality & Data Protection

User data, including financial data, balance sheets, documents, and records, is handled in accordance with the Privacy Policy.
While reasonable security measures are implemented, the Company does not guarantee absolute data security and shall not be liable for unauthorised access beyond reasonable control.

11. Suspension & Termination

The Company reserves the right to suspend or terminate user access at its sole discretion, with or without notice, if: – These Terms are violated – Regulatory or legal requirements so mandate – Continued access poses operational or compliance risk
Upon termination, users must cease use of the Platform.

12. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from: – Use or inability to use the Platform – Reliance on automated outputs or analytics – Data inaccuracies or system limitations – Unauthorised access or cyber incidents
Any liability, if imposed, shall be limited to the amount paid by the user for the relevant service.

13. Indemnification

Users agree to indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, losses, or damages arising from: – Breach of these Terms – Misuse of the Platform – Violation of applicable laws

14. No Warranty

The Platform and its content are provided on an “as-is” and “as-available” basis. The Company makes no warranties regarding accuracy, completeness, suitability, or uninterrupted availability.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts in India shall have exclusive jurisdiction over any disputes.

16. Changes to Terms

The Company may revise these Terms at any time without prior notice. Continued use of the Platform constitutes acceptance of the revised Terms.

17. Additional Disclaimers on Products & Sub‑Domains

Specific tools, modules, services, or sub‑sections of ValuEthics 360° may contain additional disclosures, disclaimers, or terms. In the event of any inconsistency, such specific disclosures shall prevail to the extent of such inconsistency.

18. Anti‑Hacking & System Misuse

Users agree not to attempt, directly or indirectly, to: – Access, extract, scrape, copy, or monitor any data or content through automated means – Circumvent security features or access restricted areas – Interfere with system performance or impose unreasonable load on infrastructure – Gain unauthorised access to servers, databases, or user accounts
Any such activity may result in immediate termination and legal action.

19. Cancellations, Refunds & Price Changes

Subscription fees, if any, are governed by the pricing and plan details displayed at the time of purchase.
Unless expressly stated otherwise: – Fees paid are non‑refundable – Partial usage periods are not eligible for refunds or credits
The Company reserves the right to revise pricing, plans, or features. Any material price change will be communicated prospectively and shall not affect amounts already paid.

20. Communication Consent

By using the Platform, users consent to receive service‑related communications via email, SMS, phone calls, WhatsApp, push notifications, or other electronic means.
Such communication may be facilitated through third‑party service providers. The Company shall not be liable for delays or failures attributable to such providers or DND restrictions.

21. No Warranty

The Platform and all content, tools, and services are provided on an “as‑is” and “as‑available” basis. The Company disclaims all warranties, express or implied, including accuracy, completeness, fitness for a particular purpose, or uninterrupted availability.

22. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through a two‑step alternative dispute resolution mechanism:
Mediation: Parties shall first attempt amicable resolution within 30 days.
Arbitration: If unresolved, the dispute shall be referred to arbitration by a sole arbitrator appointed by the Company. The seat and venue of arbitration shall be in India and proceedings shall be conducted in English.

23. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Courts located in India shall have exclusive jurisdiction over disputes arising hereunder.
